Terms and Conditions - Solana Development Program
These Terms and Conditions (the “Terms”) govern the relationship between Sorare SAS (“Sorare”) and any person or entity submitting project ideas to Sorare in the context of its Solana Development Program (the “Participant(s)”). The Solana Development Program will hereafter be referred to as the “Program”. By submitting a project in the specified online form, Participants accept and agree to abide by all the below Terms.
1. Eligibility
The Program is open to any entity or individual of 18 years old or older, unless they are located in a black-listed country as established by OFAC, or if such individual or entity is considered a
Specially Designated National by OFAC (“SDN”).
2. Confidentiality
Sorare will use any confidential information disclosed by the Participants for the purpose of reviewing and evaluating the submitted project idea(s). Sorare will not intentionally disclose such confidential information to third parties, except to its employees, contractors or advisors who have a legitimate need to know for the purposes of such review and who are subject to confidentiality obligations. Sorare will implement reasonable measures, consistent with its standard business practices, to protect the confidentiality of the information submitted.
Participants acknowledge that project submissions are made at an early-stage and that Sorare cannot guarantee absolute confidentiality or that similar ideas, concepts or projects will not be independently developed or considered by Sorare or third parties.
3. Access to tools
Any access granted to tools, APIs, analytics, documentation, technical context, or guidance (collectively, the “Stack”) is provided on an “as is” and “as available” basis, solely for the purpose of developing and submitting a project idea under the Program.
Sorare does not guarantee the availability, accuracy, completeness, or continued access to any of the Stack, nor does it commit to providing any specific level of support, response time, maintenance, or updates. All support, if any, is provided on a best-efforts basis and at Sorare’s discretion.
Sorare reserves the right to modify, suspend, or withdraw access to any Stack, in whole or in part, at any time, without notice or liability. Participants acknowledge that they use the Stack at their own risk and that Sorare shall not be liable for any loss, damage, or costs arising from or related to the use of, or inability to use, the Stack.
4. No Rights Granted
Nothing in these Terms must be understood as granting either party or any of its representatives any rights or licenses under any intellectual property rights, including but not limited to copyrights, trademarks, or image rights.
Notwithstanding the foregoing, when submitting a project idea to Sorare in the context of the Program, the Participant warrants that their submission is original and not likely to infringe any law or intellectual property rights of any third party, or give rise to any legal claim by any third party.
5. No Commitment
Sorare and the Participant acknowledge that the submission of a project idea does not constitute, and is not intended to constitute, an exclusive arrangement or any obligation on Sorare to select, fund, support, or otherwise pursue the submitted project, nor any obligation on either party to enter into a further agreement or business relationship. Sorare reserves the right, in its sole discretion, to accept or reject any project submission, in whole or in part, with or without providing any justification or feedback. Sorare further reserves the right to modify, suspend, or terminate the call for projects or the Program at any time, in whole or in part, without liability.
The exchange of confidential information will not create any partnership, joint venture, or other legal or business association between the parties.
Any future business relationship between Sorare and the Participant will be subject to the execution of a separate written agreement.
6. Personal Data Protection
Sorare will collect and process personal data, such as names, email addresses, and contact details, provided by the Participant in connection with the Program, solely for the purposes of reviewing and evaluating the submitted project. In accordance with the European General Data Protection Regulation (GDPR), Participants may request access to, rectification of, or deletion of their personal data by contacting dpo@sorare.com.
7. Jurisdiction and Applicable Law
The present Terms and Conditions are governed by French law. Any dispute arising out of or in connection with a Participant’s submission will be subject to the exclusive jurisdiction of courts located in Paris.
